As a layman, I am having a hard time understanding how someone could be charged of insider trading on a company that is not trading publicly? If someone could explain, thanks!

I'm not a lawyer. From a little research I understand that insider trading laws apply to securities, so I can only conclude that NFTs are being defined as securities here. It's always been a grey area.
